Durham Capital S.A. is an unregulated securitization undertaking (société de titrisation non-agréée). As such Durham Capital is subject to the provisions of the Luxembourg law of March 22, 2004 on securitization.


Durham Capital provides for separate securitization compartments that may issue debt instruments to suitable investors as part of securitizations. Each compartment is a separate part of the Durham Capital’ assets and liabilities and in principle also separate of the assets and liabilities of other compartments. The assets held by a compartment are exclusively available to satisfy the rights of the holders of debt instruments issued with respect to such compartment and the rights of the creditors whose claims have arisen as a result of the creation, the operation or the liquidation of such compartment. Durham Capital enables third party originators to securitize risks related to their investments via a compartment and issue debt instruments to their investors.

Compartments


Compartment 1

Durham Capital S.A. acting with respect to its Compartment 1 has issued envisages to issue, direct, unsecured, limited recourse debt obligations (Bonds). The Bonds may be issued in different Series and will be issued in bearer form for the amount of at least €125,000. Durham Capital S.A. acting with respect to its Compartment 1 will use the net proceeds from the issue of each Series by making debt and equity-related investments, including indirect, transferable loans originated by third parties, in public and private companies, mainly iOra Software Limited, Lexalytics Inc. and Calder Developments Limited. iOra Software Limited and Lexalytics Inc. are software companies that form part of the Stocksfield Group. Calder Developments Limited is a site development company that is linked to the Stocksfield Group through its directors.

As of July 31, 2015 the Series I Bonds have been issues for a total amount of EUR 2,000,000. The Series I Bonds have a term of 3 years and are listed at the Third Market of the Vienna Stock Exchange since August 12, 2015.

Compartment 2

Durham Capital S.A. acting with respect to its Compartment 2 has issued and envisages to issue, direct, unsecured, limited recourse debt obligations (Bonds). The Bonds may be issued in different Series and will be issued in bearer form for the amount of at least €125,000. Durham Capital S.A. acting with respect to its Compartment 2 will use the net proceeds from the issue of each Series by making debt and debt-related investments with a maximum duration of 364 days, including indirect, transferable loans originated by third parties, in public and private companies, mainly small and medium enterprises.

As of August 10, 2015 the Series I Bonds have been issued for a total amount of EUR 2,000,000. The Series I Bonds have a term of 10 years and are listed at the Third Market of the Vienna Stock Exchange since September 2, 2015.
